The Finnish Financial Supervisory Authority has approved Cargotec’s prospectus concerning the partial demerger of Cargotec and listing of Kalmar.
According to the partial demerger plan, all assets, debts and liabilities of Cargotec relating to the Kalmar business area or mainly serving the Kalmar business area will be transferred without a liquidation procedure to Kalmar Corporation, a company to be incorporated in the demerger.
Subject to, among other things, the approval at Cargotec’s annual general meeting (AGM), which at the time of publication was scheduled for May 30, the demerger plan is expected to be registered in the Finnish Trade Register around June 30, while trading in Kalmar’s class B shares on the official list of Nasdaq Helsinki is foreseen to begin on July 1 or shortly after.
